ENGARDE acts as legal advisor to an investor in the acquisition of the controlling stake in Amstor group of companies, an operator of the biggest retail network in Ukraine. According to experts, the estimated value of Amstor is around USD 500 million.
ENGARDE’s legal support being provided to the investor regarding the issues of corporate and merger control law include performing of a full-blown due diligence of the hypermarket network, structuring the deal, signing a number of participation interest transfer agreements, establishing the holding company in a foreign jurisdiction, and concluding shareholder agreement.
Armstor group of companies was established in 2003. Presently, it is the most extended retail network in Ukraine with its 24 retail outlets of the total floor area over 260 thousand square meters in 12 cities, largely in the south-eastern region of Ukraine.
The transaction was handled by the legal team of ENGARDE, which was led by Senior Partner Andriy Vyshnevsky and supported by Counsels Olga Gurgula and Roman Ognevyuk.
